Corporate Capital Markets Associate (Junior) - WPB
Greenberg Traurig, a global law firm, is seeking a Capital Markets associate in their Corporate Practice at the West Palm Beach office. The role involves working on public and private equity offerings, interfacing with the SEC, and counseling public companies on corporate governance matters.

Responsibilities
Work with clients on public and private equity offerings, including initial public offerings and follow-on offerings
Interface with the SEC and other regulators regarding proxy statements and S-4 registration statements in connection with business combination transactions
Counsel public companies on corporate governance matters
Qualification
Required
2-3 years of experience in public and private equity offerings, including initial public offerings and follow-on offerings
Experience with proxy statements and S-4 registration statements in connection with business combination transactions
Experience interfacing with the SEC and other regulators
Familiarity with the ongoing reporting requirements under the '34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks and proxy statements
Experience in representing both issuers and underwriters
Day-to-day experience counseling public companies, including with respect to corporate governance matters
Strong academic background
Client management skills
Drafting and negotiation skills
Admitted to the Florida Bar or eligible for admission to the Florida Bar
Preferred
Experience working with SPACs (including 'deSPAC' transactions)
