Responsibilities

Corporate securities for all of the public company securities reporting
Corporate governance (assistant secretary to the BOD) - agendas, materials, presence and minutes and resolutions
Investor relations (part of extended group that outreaches to our largest investors)
Support ESG activities including biannual conversation with stewardship teams of our largest shareholders
Support deals related to global M&A and investments (execution and supporting integration)
Partner with the treasury department to advise on debt offerings and other cash management activities
Advise on Adobe’s Executive compensation plan/design (partner with VP Total Rewards and equity finance leader)
Be responsible for all of our global subsidiaries and tax structures in ~40 different countries and provide support for treasury and corporate finance (capital structure and capital markets
Manage an organization of 7+ employees

Required

A JD from a leading law school/university, and at least 15 years of relevant experience at a top law firm or in-house legal department, specifically in federal securities law and corporate governance; preferably with additional experience in contracts, and business legal. Some of the time must have been spent in a Fortune 250 company
Superior relationship management skills with the ability to develop partnerships and relationships throughout the organization as well as with key external collaborators. A proven track record of building and maintaining relationships with other functional leaders and the business
Strategic problem-solving skills with excellent legal and business judgement. Impeccable integrity and ethical behavior with a strong moral compass and a commitment to transparency
A creative, innovative and commercial mindset with a positive attitude. Substantial experience working collaboratively and effectively with cross-functional teams
The ability to create clarity in high-stakes situations with ambiguity (e.g. M&A)
The strong ability to prioritize and focus on critical initiatives for LGR and the company; strive for operational excellence and hold teams accountable
A collaborative leadership style that empowers your team as well as the ability to influence and adjust your style to drive strong performance across the matrix
Strong communication skills with the ability to influence and persuade, effectively interfacing at all levels of an organization
