Law Practice
Responsibilities
Lead and manage venture capital financings, including Series A-C rounds, convertible note offerings, and SAFE transactions
Handle middle-market M&A transactions, including stock and asset purchases, mergers, spin-offs, and joint ventures
Draft, review, and negotiate complex transaction documents including purchase agreements, investment agreements, stockholder agreements, and disclosure schedules
Provide ongoing corporate governance advice to public and private companies
Mentor and supervise junior associates and support staff
Develop and maintain strong client relationships
Collaborate with other practice groups including tax, employment, IP, and regulatory teams
Qualification
Required
J.D. from an accredited law school with strong academic credentials
4-7 years of corporate law experience with emphasis on venture capital and M&A transactions
Experience with general corporate matters including entity formation, corporate governance, and securities compliance
Demonstrated ability to manage multiple complex transactions simultaneously
Strong drafting, analytical, and communication skills
Ability to work effectively under pressure and meet tight deadlines
Preferred
Life science industry experience is a bonus, but not required
