Responsibilities
Advising public and private companies on securities law compliance, corporate governance, and complex transactions, including SEC reporting, proxy matters, exchange compliance, and investor communications
Supporting public-company M&A, advising private companies on capitalization and pre-IPO readiness, and representing issuers and placement agents in a wide range of capital markets transactions, including IPOs, follow-ons, PIPEs, and Rule 144A / Regulation S offerings
Managing transactions, coordinating due diligence, handling regulatory filings, and facilitating closings
Interacting regularly with senior executives and boards of directors
Qualification
Required
Six to twelve years of securities and capital markets experience, typically from a large law firm or other sophisticated securities practice
Comfortable operating with a high degree of independence
Experience advising boards and senior leadership
Supervising junior lawyers
Contributing to team development
Admitted to practice in Illinois or another U.S. jurisdiction
Preferred
Illinois admission or the ability to obtain it
