Corporate Paralegal
Nelson Mullins Riley & Scarborough is a national AmLaw 100 law firm seeking a qualified Corporate Paralegal for their Orlando office. The role involves preparing corporate formation documents, handling amendments and mergers, and maintaining corporate records, all while ensuring compliance with legal requirements.

Responsibilities
Preparing corporate formation documents, including bylaws, operating agreements, organizational consents, board and shareholder minutes, and written consents
Handling corporate amendments, withdrawals, mergers, conversions, and dissolution documents
Preparing and filing fictitious name applications while ensuring compliance with publication requirements
Drafting and submitting IRS forms, such as EIN applications and S-Election forms, to the Internal Revenue Service
Maintaining corporate minute books, issuing stock and membership interest certificates, and keeping accurate stock ledgers
Preparing and filing corporate annual reports with government agencies
Assisting with corporate transactions such as mergers and acquisitions, supporting the preparation of disclosure schedules, and maintaining closing checklists
Helping with data production, organizing and maintaining data rooms, and handling the preparation and filing of UCC financing statements while conducting UCC/lien searches
Qualification
Required
At least three years of relevant experience as a corporate paralegal in a law firm setting
Solid understanding of corporate practice and procedures
High level of accuracy and attention to detail
Strong organizational skills
Strong technology and analytical abilities
Ability to analyze and interpret information in transactional and corporate documents
Effective communication skills, both oral and written
Strong sense of accountability and ownership of projects
Proactive approach to resolving issues
Ability to assess information, anticipate potential issues and outcomes, and make sound decisions
Capability of managing multiple requests and prioritizing tasks effectively
Ability to meet deadlines
Strong client service orientation
Excellent teamwork skills
Flexibility to work overtime when necessary
Preferred
A four-year degree from an accredited college or university
Paralegal certificate from an ABA-approved paralegal program
