Interim Securities Attorney

Responsibilities

Support capital markets activities, including equity and debt offerings, and private placements; advise team on Rule 144A, Regulation D, and applicable private offering exemptions
Draft and negotiate offering memoranda, subscription agreements, and investor communications
Provide guidance on structuring, disclosure requirements, and regulatory considerations for private securities offerings
Advise broker‑dealers on compliance under the Securities Exchange Act of 1934, FINRA rules, and relevant state securities laws
Advise clients on investment‑related compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940
Draft and review fund documents, advisory agreements, compliance policies, advertising materials, and disclosure documentation
Advise clients on governance, fiduciary obligations, and ongoing reporting or regulatory filings
Collaborate with interdisciplinary teams and provide securities‑related input on M&A transactions, joint ventures, restructurings, financing, and tax matters

Qualification

Required

J.D. from an accredited law school; active membership in good standing with at least one U.S. state bar
10+ years of securities law experience in a law firm
Demonstrated expertise in private placement offerings and securities regulations
Demonstrated expertise in broker–dealer regulatory matters (FINRA + SEC)
Demonstrated expertise in advising investment companies or investment advisers
Strong drafting, negotiation, and communication skills
Ability to manage multiple transactions and priorities with minimal supervision
Collaborative mindset with the ability to work effectively with sophisticated financial‑services clients
Familiarity with structured products, fund formation, or alternative investment vehicles
