Responsibilities

Draft, review, and negotiate PSAs for real estate acquisitions and dispositions
Manage, coordinate and conduct real estate due diligence, including title and survey, appraisals, property condition assessments, environmental reports, zoning, and lease review
Oversee and execute all aspects of transaction closings, ensuring accurate documentation and compliance with internal and external requirements
Draft, review, and update PPMs for DST offerings. We are increasingly moving towards automation of the production of these documents, and this role will be integral in completing that project and managing the automated production of same
Draft and negotiate trust agreements, operating agreements, subscription documents, and investor disclosures related to real estate syndication
Support real estate financing transactions, including loan document review, negotiation, diligence, and closing
Draft and issue tenant notices, including estoppels, SNDA-related communications, maintenance notices, default notices, and renewal/option letters as applicable
Review and interpret lease documents to support asset management decisions and ensure compliance with landlord obligations
Draft and negotiate property-level agreements, such as access agreements, license agreements, service contracts, vendor agreements, and maintenance-related documents
Manage relationships with outside counsel when engaged, ensuring efficient and cost-effective execution
Other duties that may be assigned from time to time by the CLO

Required

J.D. from an accredited law school; admission to at least one U.S. state bar in good standing
5–10+ years of experience in real estate transactions, preferably at a law firm, real estate investment company, or private equity firm
Significant experience with commercial property acquisitions/dispositions, including PSA drafting and negotiations, due diligence review, and closings
Familiarity with entity formation, trust structures, and deal-level corporate governance
Strong proficiency with standard real estate and transactional workflows

Preferred

Experience with securities-related property syndication documentation (or the ability to learn quickly) strongly preferred
Experience with real estate finance (borrower-side or lender-side), including loan structures and common lender requirements, strongly preferred
