Responsibilities
Preparing and filing entity formations, qualifications, amendments, and dissolutions with state and other governmental agencies
Maintaining corporate records, minute books (electronic and hard copy), capitalization tables, and entity management systems
Drafting, reviewing, and organizing corporate documents, agreements, consents, and resolutions
Supporting mergers, acquisitions, financings, and other transactional matters, including coordinating and managing closing processes
Preparing and managing signature packets, closing checklists, and post-closing deliverables
Conducting and coordinating due diligence, including organizing data rooms and reviewing diligence materials
Communicating directly with clients, internal teams, and external vendors, including corporate services providers
Assisting attorneys with ongoing corporate governance, compliance, and transactional projects
Qualification
Required
3+ years of corporate paralegal experience, preferably in a law firm supporting corporate or transactional practices
ABA-approved Paralegal Certificate required
Strong proficiency in Microsoft Office (Word, Excel, Outlook)
Excellent written and verbal communication skills
Ability to manage multiple matters simultaneously, meet deadlines, and exercise sound independent judgment
A collaborative, proactive, and solutions-oriented mindset
Preferred
Experience with iManage preferred
Experience working with corporate services providers and entity management platforms (e.g., Secretary of State filings) preferred
