Responsibilities
Lead and support public and private M&A matters, joint ventures, and strategic investment transactions
Advise private equity sponsors and portfolio companies on complex deal structures
Draft and negotiate key transactional agreements, including purchase agreements and shareholder documentation
Coordinate with attorneys across various practice areas on multi-jurisdictional and multi-disciplinary matters
Provide practical, strategic legal guidance throughout each stage of a transaction
Maintain strong time-management habits and consistent billable performance
Qualification
Required
6+ years of experience in M&A and private equity transactions
Skilled in drafting, negotiation, and client communication
Familiarity with NVCA documentation is required
Comfortable working in a fast‑paced, collaborative environment
Active bar admission in IL, NY, or CA
