Manager, General Counsel
Nonprofit Finance Fund (NFF) is a nonprofit lender and advocate focused on community wealth and well-being. The Manager, General Counsel will oversee post-closing requirements for loans and support the General Counsel department's operations, ensuring compliance and effective capital deployment.

Responsibilities
Draft amendments and waiver letters and other as loan documents, as needed
Organize and track closing documentation for loan transactions
Assist with preclosing and closing activities, as needed
Collect signature pages, and prepare wire transfer requests
Prepare and file UCC filings, including UCC continuation and termination statements
Perform lien and litigation searches
Perform corporate entity searches
Prepare and manage collateral release documents
Schedule post-closing meeting with loan servicing, underwriting, portfolio management, and general counsel departments
Track and follow-up on documents and items required post-closing
Track UCC and mortgage filings and title insurance policies in favor of NFF
Manage and update post-closing checklist
Serve as Asana manager; create and track projects in Asana
Create and maintain client files
Upload files to corporate cloud document management system and Salesforce
Maintain tracking for loan amendments, and other General Counsel department activities
Coordinate Department meetings, mailings, and filing projects
Work with NFF’s NMTC team to provide post-closing support including file maintenance
Work with NFF’s internal enterprise support team, outside agent, and online platforms to manage tasks
Formation and dissolution of special purpose entities for the NFF’s NMTC team
Support special projects as required to support the business
Attend internal and external meetings as needed
Contribute to advising a large, fast-paced, forward-thinking organization on a broad range of complex legal, business, and strategic issues
As work and community/client needs change, assignments, projects, and job duties will be assigned and may change
Qualification
Required
A bachelor's degree from an accredited college or university in business administration, paralegal studies, public administration, or a related field; equivalent combinations of relevant education, training, and experience will be considered
Five (5) years of professional experience as a paralegal or similar role in a law firm with a focus on financial transactions, corporate transactional work including project finance, securities, structured finance or public finance law
Advanced skills managing multiple concurrent projects or transactions, with responsibility for tracking timelines, deliverables, and follow-ups
Proven ability to communicate clearly and professionally in writing and verbally with internal stakeholders and external parties
Preferred
A demonstrated commitment to NFF's mission, values, and approach to community impact
A learning orientation and curiosity about business and lending strategies, with an interest in CDFIs and their role in nonprofit financing
Strong organizational, process-driven, and detail-oriented work habits, with the ability to manage competing priorities in a fast-paced, evolving environment
A self-starter mindset with high personal accountability, paired with a collaborative approach to working with a dynamic, mission-driven team
Exceptional interpersonal and client-facing communication skills, including the ability to build trust and work effectively with stakeholders at all levels
The ability to work independently and effectively in a remote environment, building strong relationships across geographies and time zones
Sound judgment, integrity, and discretion, and ability to maintain confidentiality of sensitive information
Comfort using online collaboration tools and business systems, including Salesforce and Microsoft Office
