Responsibilities
Support Fund Finance practice
Handle secured and unsecured lending transactions
Manage fund financings
Oversee acquisition financings
Engage in leveraged finance and private credit transactions
Facilitate bridge loans
Coordinate complex domestic and cross-border syndicated and bilateral financings
Represent lenders and borrowers in subscription credit facilities
Familiarity with NAV facilities, hybrid facilities, and management fee lines
Understand fund structures, including private equity, real estate, credit, and secondary funds
Review limited partnership agreements, side letters, and fund governing documents
Draft and negotiate credit agreements, security documents, and ancillary financing documents
Coordinate multi-jurisdictional financings and work with international counsel
Perform due diligence, issue-spotting, and deal management in fast-paced transactional environments
Qualification
Required
2 to 5 years of experience in secured and unsecured lending transactions
Experience in fund financings
Experience in acquisition financings
Experience in leveraged finance and private credit transactions
Experience in bridge loans
Experience in complex domestic and cross-border syndicated and bilateral financings
Preferred
Experience representing lenders and borrowers in subscription credit facilities
Familiarity with NAV facilities, hybrid facilities, and management fee lines
Understanding of fund structures, including private equity, real estate, credit, and secondary funds
Knowledge of collateral packages, including capital call rights and account control arrangements
Ability to review limited partnership agreements, side letters, and fund governing documents to analyze borrowing base eligibility
Comfort drafting and negotiating credit agreements, security documents, and ancillary financing documents
Experience coordinating multi-jurisdictional financings and working with international counsel
Strong due diligence, issue-spotting, and deal management skills in fast-paced transactional environments
