Responsibilities
Participate in all aspects of public and private company transactional work, including, without limitation, review and preparation of draft agreements, due diligence, tracking and coordinating signings and closings and other tasks appropriate based on years of experience and demonstrated ability; coordination and oversight of due diligence efforts, including liaising with attorneys in specialty practice areas and/or co-counsel outside of the firm
Ability to work productively with colleagues (attorneys and non-attorneys), including mentoring and overseeing more junior attorneys; mastery of organizational tasks (including keeping detailed checklists)
Basic corporate drafting skills necessary for major corporate transactions such as mergers, stock or asset purchases, joint ventures and other collaborations, private placements and majority/minority investments:
Excellent written verbal and written communication skills
Foundation for readiness to interact with clients with limited oversight
Eager to take on increasing responsibilities, good attitude and work ethic and demonstrated aptitude for fast-paced and multi-faceted work, including on multiple transactions and types of assignments simultaneously
At least basic or “working” familiarity with securities laws and some exposure to public company transactional or capital markets work is required, along with a willingness to become more acquainted as necessary
Candidate will be primarily focused on M&A (public and private) but may from time to time be involved with other corporate matters, potentially including IPOs, capital markets engagements and other
Qualification
Required
At least 3+ years of experience in M&A law
Participate in all aspects of public and private company transactional work
Ability to work productively with colleagues (attorneys and non-attorneys)
Mastery of organizational tasks (including keeping detailed checklists)

Demonstrated aptitude for fast-paced and multi-faceted work
At least basic or 'working' familiarity with securities laws
Some exposure to public company transactional or capital markets work
3 days mandatory in-office; Mondays are mandatory
At least three 3 years – 7 years prior M&A/general corporate training required
Proficiency drafting transactional documents appropriate for prior years of experience
Accustomed to overseeing diligence processes and managing detailed transactions
Knowledge of basic securities laws and some exposure to public companies
Curious 'self-starter' with ability to work independently and on a team
Excellent written and oral communications skills
Prior experience interacting with clients
Private equity background
Basic understanding of tax, accounting, finance and/or other 'business' instincts or knowledge
Must be admitted to practice in New York
