Responsibilities
The Tax Attorney will have the final say on tax issues and will work closely with attorneys across the firm, particularly in corporate transactions, trusts & estates, litigation, and complex family law matters
Partnering closely with our Corporate Transactions team on matters including: Mergers & acquisitions, F-type and other tax-free reorganizations, Entity selection and restructuring (C-corps, LLCs, partnerships), Private Placement Memorandums (PPMs), Transactions involving foreign investors and cross-border tax considerations, Structuring equity compensation and stock option plans, Strategic tax planning tied to complex business transactions
Additional Practice Support: Trusts & Estates: Estate and gift tax planning; tax-efficient wealth transfer strategies; closely held and family-owned business planning; Litigation: Advising on tax issues in civil and criminal matters, including criminal defense cases with tax implications; Family Law: Tax issues in divorce matters, especially where businesses are jointly owned or require restructuring
Qualification
Required
J.D. from an accredited law school
Active license to practice law in [Texas / applicable jurisdiction]
8+ years of tax law experience (senior associate or partner-level preferred)
Significant experience in corporate and transactional tax planning
Strong judgment, collaboration skills, and ability to advise on complex matters
Preferred
LL.M. in Taxation preferred, but not required
