Business Affairs Attorney
Sony Corporation of America, located in New York, NY, is the U.S. headquarters of Sony Group Corporation. The Business Affairs Attorney will provide legal support on mergers, acquisitions, and other strategic transactions while working closely with internal clients and the legal teams of affiliates.

Responsibilities
Provide legal support on all aspects of mergers, acquisitions, venture capital and fund investments, joint ventures, and other strategic transactions
Review and advise on documents relating to corporate venture capital and fund investments
Draft and negotiate complex commercial contracts
Provide legal services to assigned internal client groups, as well as supporting SCA attorneys on other assignments
Support the corporate secretary function for various Sony entities
Perform other duties as assigned
Honesty, trustworthiness and ethical conduct are material requirements for the responsibilities outlined above
Qualification
Required
Requires a J.D. with strong academic performance, with membership in good standing in at least one state (preferably New York)
Requires a minimum of four (4) years of transactional experience working in a well-respected law firm or large corporation. A mix of law firm and in-house experience is preferred
A proven ability to master complex legal requirements, learn quickly, and interact easily with all levels of employees
Experience meeting tight deadlines while simultaneously prioritizing multiple projects is essential
Excellent written and oral communications skills, comprehensive interpersonal skills
A demonstrated ability to work very closely with the business side and on project teams, and to approach issues with a strategic focus
Experience negotiating and drafting complex commercial contracts is preferred
Experience with transactions in the technology, entertainment, sports and fund industries is a plus
Proficiency in Microsoft Office Suite
