Responsibilities

Advise fund sponsors on private investment fund formation and structuring
Draft, review, and negotiate core fund documents, including placement memoranda, partnership or operating agreements, subscription agreements, and side letters
Manage investor negotiations and respond to institutional investor diligence requests
Advise on securities laws and regulatory compliance affecting private funds and investment advisers
Oversee fund launches, closings, and amendments
Supervise junior associates and paralegals
Maintain direct client contact and contribute to ongoing client relationships

Required

JD from an ABA accredited law school
3–5 years of experience in private investment fund formation and investment management
Working knowledge of fund economics, key fund terms, and securities regulations

Experience reviewing co-investment documentation
