They are seeking a Legal Counsel to manage commercial contracting activities across the Americas, focusing on software licensing and services contracts while collaborating with various internal teams.

Responsibilities
Own and manage commercial contracting for our Americas Sales teams, including software license agreements, services agreements, NDAs, partner agreements, and related negotiations
Provide practical, business-oriented legal guidance to internal stakeholders on commercial and contractual matters
Develop, improve, and maintain compliant, scalable contracting processes and templates
Collaborate cross-functionally with teams such as Finance, Product, and Sales Operations on related initiatives (e.g., product documentation review, deal support, policy alignment)
Assist in drafting, reviewing, and updating internal policies, standard agreements, and playbooks
Support additional legal projects and regions as needed, depending on experience and business needs
Qualification
Required
3–8 years of legal experience, with at least 2 years focused on transactional or commercial legal work (on the sales and/or vendor side)
Active member in good standing of a U.S. state bar
Proven experience working with global or multinational teams and stakeholders
Strong background in commercial contracting; experience in the software/SaaS industry and/or at an international company is highly desirable
Familiarity with or strong interest in open-source software licensing
Ability to understand and translate technical concepts into clear legal guidance
Interest in driving process improvements and leveraging tools or technology to enhance efficiency
Comfortable working independently, managing multiple priorities, and meeting deadlines in a dynamic environment
Flexible and collaborative mindset, with the ability to work across multiple time zones
Preferred
Additional legal experience (e.g., employment, compliance, product, privacy) is a plus
Knowledge of foreign languages is an advantage
Relevant certifications (e.g., CIPP-US) are a plus
Experience with government contracting, public sector sales, or government procurement processes
