Elliptic is a leader in digital asset decisioning, and they are seeking their first US-based Commercial Legal Counsel to support their growing legal team. This role will involve managing and negotiating commercial contracts across the Americas, particularly focusing on SaaS customer agreements, while collaborating closely with the UK legal team.

Responsibilities

Independently manage and negotiate commercial contracts across the Americas, with a strong focus on SaaS customer agreements with enterprise and financial institution (representing ~90% of your workload), as well as supplier and partnership agreements

Be the primary legal business partner for our Americas Sales and Revenue teams, supporting the entire contract lifecycle from RFI through to execution, while managing legal risk in a balanced, business-focused way

Work directly and effectively with Senior Leadership, Sales, and Revenue Operations teams

Provide clear, practical legal advice to non-legal stakeholders

Provide occasional support to the UK-based Head of Legal on non-commercial legal matters

Required

Detail-oriented and highly organized

Comfortable being the only legal representative in the US, with regular collaboration with the UK Legal team

Thrive in a high-autonomy environment and enjoy taking ownership of your domain

Pragmatic, commercial, and solutions-oriented

Has at least three years of post-bar / legal experience(or similar relevant experience), with a strong background in SaaS and commercial contracts

Has proven experience negotiating SoWs, DPAs, and commercial agreements with enterprise clients and/or financial institutions

Understands key issues of intellectual property and data protection in the US context

Has excellent written and verbal communication skills

Is based in New York and available to attend the New York office at least two days a week

Preferred

Prior in-house experience

Experience working with SaaS technology contracts

Familiarity with legal tech tools such as CLM's

An interest in cryptocurrency
