Coordinate quarterly and ad‑hoc Board meetings, maintain governance calendars, and prepare Board materials, including fund reports and regulatory filings
Manage Board documentation, minutes, resolutions, and records in accordance with SEC requirements
Serve as a central liaison for internal teams, independent directors, external counsel, and auditors on governance matters
Oversee entity formation, qualification, and ongoing maintenance across jurisdictions
Prepare and file state annual reports, franchise tax filings, and track SEC and state compliance deadlines
Maintain organizational documents, minute books, capitalization records, and ownership structures
Support documentation for fund launches, reorganizations, and similar corporate events
Monitor regulatory changes affecting registered funds and update governance processes accordingly

Required

Experience with Exchange Act filings (10‑K, 10‑Q, 8‑K) and state reporting requirements
Skilled in managing multi‑entity structures, governance calendars, and Board support workflows
High attention to detail, strong organizational skills, and the ability to manage multiple deadlines
Must be on-site
