Corporate and Securities Paralegal
Trinity Industries, Inc. is seeking a highly skilled Corporate & Securities Paralegal to join their dynamic legal team. This role is integral to supporting corporate governance, securities compliance, and regulatory matters, and involves assisting with various legal responsibilities and collaborating with internal teams.
Responsibilities
Support the Vice President and Corporate Secretary on corporate, securities, board governance, and various regulatory legal matters
Assist with preparation and posting of agendas, presentations, and minutes for Board of Directors and Committee meetings
Serve as the primary administrator for the company’s electronic Board portal
Support annual proxy statements and stockholder meetings, including director/officer questionnaires
File annual corporate governance documents with the NYSE, including affirmations and dividend notices
Manage regulatory filings and ensure compliance with applicable requirements
Oversee subsidiary maintenance, including consents, filings, qualifications (domestic and international), and entity changes
Maintain archival programs for historic Board and Committee records
Assist with mergers, acquisitions, and other corporate transactions through due diligence and document preparation
Collaborate with internal teams (Legal, Capital Markets, etc.) to provide corporate documentation and support business initiatives
Conduct legal research and assist attorneys with special projects
Qualification
Required
Bachelor's degree in paralegal studies or related field, or equivalent experience
7–10 years of experience as a paralegal in a corporate legal environment or large law firm
Strong knowledge of entity management, corporate governance, finance, and securities law
Exceptional organizational, communication, and legal research skills
Proactive, detail-oriented, and able to manage multiple priorities in a collaborative team setting
