Corporate / Transactional Attorney – Nonprofit Practice
LHH is partnering with a highly regarded, mission-driven Boston law firm that is expanding its nonprofit practice and seeking a midlevel transactional attorney to join a collaborative, growing team. This role focuses on corporate transactional work with real impact, advising nonprofit organizations on complex transactions and governance.
Responsibilities
Serve as corporate counsel to nonprofit and mission-driven organizations
Advise clients on governance, compliance, and operational matters
Form entities and support federal and state tax-exempt filings, with training provided as needed
Support mergers, affiliations, restructurings, and other strategic transactions
Draft, negotiate, and review corporate and transactional agreements
Research and analyze corporate, regulatory, and nonprofit-related issues
Prepare clear, practical guidance for boards and executive leadership
Qualification
Required
3+ years of corporate or transactional experience in a law firm, public sector, or in-house setting
Strong drafting, analytical, and issue-spotting skills
Ability to manage matters and client relationships with appropriate supervision
Massachusetts bar admission or eligibility to waive in
Preferred
Prior nonprofit experience is helpful but not required
Experience with real estate, healthcare, or regulated industries is a plus
