Responsibilities
Draft, review, and negotiate a wide range of contracts including SaaS agreements, master service agreements, partnership contracts, vendor agreements, and other commercial contracts
Help maintain and improve contract templates, including improving commercial contracting playbooks and workflows
Draft and review privacy-related documents such as data processing agreements, privacy policies, terms of use and risk assessments
Assist in integrating AI tools into legal workflows (e.g., contract review automation)
Advise on compliance with domestic and international privacy laws including GDPR, CCPA and other data protection frameworks. Current expertise in these areas, or desire to quickly gain expertise
Draft and maintain internal policies and contractual language governing the use of Generative AI and third-party AI tools, focusing on the protection of company IP and the prevention of unauthorized data leakage
Assist in managing the contract lifecycle process including by optimizing the use of contract management tools
Support corporate transactions including due diligence and post-closing integration
Manage ad hoc legal projects and support broader legal team initiatives
Partner with business stakeholders to proactively identify legal risks and implement solutions
Qualification
Required
Experienced, business-minded attorney
Deep expertise in commercial contracting
Comfort navigating data privacy and regulatory considerations
Ability to operate independently
Ability to balance legal risk with commercial objectives
Ability to provide practical guidance across teams
Experience drafting, reviewing, and negotiating a wide range of contracts including SaaS agreements, master service agreements, partnership contracts, vendor agreements, and other commercial contracts
Experience maintaining and improving contract templates
Experience drafting and reviewing privacy-related documents such as data processing agreements, privacy policies, terms of use and risk assessments
