Responsibilities

Advise clients on equity financings, fund formation, debt structures, and private M&A transactions
Draft and negotiate complex transactional documents across venture, private equity, and lending matters
Work directly with founders, funds, and investors on strategic structuring and execution
Collaborate with a lean, high-performing team on sophisticated domestic and cross-border deals

Qualification

Required

5+ years of corporate law experience (7–8 years ideal)
Background in Big Law required

Entrepreneurial mindset with comfort operating in a boutique, high-autonomy environment
