Responsibilities
Structure and negotiate venture financings — including equity rounds, SAFEs, convertible notes, and private equity investments for startups and funds
Advise on M&A transactions — from due diligence and term sheets to closing complex acquisitions, joint ventures, and cross-border deals
Handle fund formation and structuring — drafting partnership agreements, SPVs, and governance documents for private credit funds and investors
Draft and review asset-backed lending and credit facilities — ensuring creative, compliant solutions for lenders and borrowers in fintech and emerging sectors
Provide strategic counsel to founders, investors, and companies — on capitalization, securities compliance, and growth strategies to facilitate scaling and exits
Qualification
Required
Senior Corporate Associate (Funds/VC/PE/M&A)
Experience in venture financing, private equity, and M&A for innovative startups and funds
Ability to structure and negotiate venture financings including equity rounds, SAFEs, convertible notes, and private equity investments
Experience advising on M&A transactions from due diligence and term sheets to closing complex acquisitions, joint ventures, and cross-border deals
Experience handling fund formation and structuring, including drafting partnership agreements, SPVs, and governance documents for private credit funds and investors
Ability to draft and review asset-backed lending and credit facilities
