Responsibilities

Advise on federal and state tax aspects of structuring buy- and sell-side M&A transactions

Draft and negotiate tax-related provisions in purchase agreements and other transactional documents

Collaborate with deal teams to identify and mitigate tax risks and optimize transaction outcomes

Provide guidance on federal, state, and international tax issues relevant to transactional work

Required

10+ years of related experience

Prior experience in private practice

Excellent interpersonal, analytical, and writing skills

Strong academic background

J.D. from an ABA-Accredited Law School

Active attorney license in at least one U.S. jurisdiction and ability to promptly get admitted in the state of Minnesota

Preferred

Candidates who would be based in our Minneapolis office are preferred

Candidates who are currently partners at a law firm or who have full or partial portable books of business with availability to also support tax matters in M&A transactions
