Corporate Counsel

C.H. Guenther & Son is a global food manufacturing company headquartered in Texas, seeking an experienced Corporate Counsel to join their legal team. The role involves overseeing legal matters to ensure compliance with laws and regulations, providing legal guidance in risk management, commercial transactions, and intellectual property within the food industry.

Responsibilities

Draft, review, negotiate, and manage a variety of contracts, including supply agreements, distribution agreements, vendor contracts, manufacturing agreements, confidentiality agreements, and purchase agreements
Responsible for implementing and maintaining records management policies and processes across the organization
Provide proactive legal advice on risk management, intellectual property protection, and business operations to safeguard the company’s interests
Provide legal support for various departments, including HR, operations, and marketing, with a focus on food industry legal matters
Conduct internal training and create educational resources for company employees on legal topics, including contract management and compliance
Performs all other duties as assigned

Required

Juris Doctor (JD) degree from an accredited law school
Licensed to practice law in Texas
A minimum of 5-8 years of relevant experience in a law firm or corporate law department, with a focus on contract drafting, review, and negotiation, ideally within the food manufacturing industry or related sectors
Background in records management and contract management
Familiarity with risk management strategies and corporate governance
Proficient use of a computer, Microsoft Office (Word, Excel, PowerPoint, OneNote), and other related applications or software
Strong analytical, problem-solving, and decision-making skills
Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly and concisely
Ability to prioritize and manage multiple projects simultaneously in a fast-paced environment
Ability to prioritize projects and clearly communicate direction internally and externally
