Responsibilities
Represent issuers, underwriters, and sponsors in equity and debt offerings, private placements, and other securities transactions
Draft and negotiate offering memoranda, registration statements, underwriting agreements, and other transactional documents
Advise clients on compliance with federal securities laws and regulatory filings under the 1933 Act and 1934 Act
Work on a variety of capital-raising transactions, including IPOs, follow-on offerings, high-yield and investment-grade debt offerings, and sovereign bond deals
Collaborate with attorneys across corporate, tax, and regulatory teams to structure and execute cross-border offerings and capital markets transactions
Qualification
Required
JD from a top-tier law school with a strong academic record
Active Bar Admission in the District of Columbia, in good standing
5+ years of substantive experience in capital markets transactions
Experience representing issuers, underwriters, and placement agents in public offerings and private placements of securities
Proficiency in securities law compliance, including the Securities Act of 1933 and the Securities Exchange Act of 1934
Demonstrated ability to manage complex transactional workflows from diligence through closing
Strong drafting skills, commercial judgment, and a detail-oriented approach
Preferred
Familiarity with business development companies (BDCs), registered closed-end funds, and other 1940 Act entities is a plus
Large law firm experience strongly preferred
