The role involves advising financial service firms on regulatory, compliance, and transactional matters, as well as drafting and preparing various fund formation documents.

Responsibilities

Drafting and Preparing Fund Formation Documents for Hedge Funds, Private Equity Funds, Venture Capital Funds, and Real Estate Funds

Private offering memorandums, partnership agreements, subscriptions agreements, investment advisory agreements, investment management agreements and other documentation for the fund’s launch and operation

Establishing offshore feeders for foreign investments

Regulatory experience with, and guiding companies through, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and other federal securities laws

Regulatory rules and compliance requirements associated with Registered Investment Advisors, including drafting Form ADVs, Amendments to Form ADVs, policies and procedures, etc

Review of marketing materials under the Investment Adviser Marketing Rule

Guiding through SEC and State Registrations

Experience with Broker-Dealer Regulations & Formations a PLUS
