Responsibilities

Draft and support preparation of Board of Directors and committee materials, including resolutions, minutes, and corporate governance policies
Advise on corporate structuring, subsidiary management, and compliance with global governance and reporting requirements
Support equity administration, including advising on equity plans, employee communications, and securities compliance
Review and advise internal stakeholders on investor presentations, financing documentation, offering materials, and other public announcements
Advise and assist on strategic transactions, including conducting due diligence, drafting and negotiating transaction documents, and advising on post-transaction matters
Draft, review, and negotiate a wide range of commercial agreements, including enterprise SaaS agreements, strategic partnerships, channel and reseller arrangements, and customer negotiations
Provide practical legal guidance on commercial strategy, risk allocation, product enablement, and cross-functional go-to-market initiatives
Develop and refine commercial tools such as templates, playbooks, positioning guidance, and operational processes to drive efficiency and consistency

Required

6+ years of combined legal experience, including at a law firm
Law degree (J.D. or equivalent)
Experience advising on corporate legal issues; prior commercial experience is helpful but not required
Excellent drafting and communication skills, with the ability to distill complex legal issues into clear, actionable advice
Entrepreneurial mindset, strong ownership mentality, and comfort operating in a highly dynamic, fast-scaling environment
Strong analytical, organizational, and program management skills with good attention to detail
Collaborative, low-ego working style and ability to build strong cross-functional relationships
