Responsibilities
Serve as the US federal income tax single point of accountability for assigned projects and identify state income tax and non-income tax issues
Support various worldwide tax projects, including analyzing relevant tax law for tax planning transactions; working with foreign and domestic tax advisors to understand relevant tax rules; partnering with multiple business units to understand both domestic and foreign tax implications; and preparing and/or reviewing financial models to illustrate the tax consequences of various alternatives
Communicate complex technical tax issues to management and internal stakeholders
Draft and review tax provisions
Prepare technical tax memoranda
Performs other job-related duties as assigned
Qualification
Required
Bachelor's Degree
Juris Doctorate
Experience: 3+ years
Member in Good Standing of State Bar
Strong transactional tax background with experience working on mergers and acquisitions, joint ventures, financings, and reorganizations
Significant experience working with the rules in Subchapter K and Subchapter C and structuring complex transactions, including preparing steps plans laying out economic and tax aspects of transactions
Reviewing and revising transaction documentation, including drafting of economic and tax provisions of purchase and sale agreements and LLC/partnership agreements
Research and drafting of legal memoranda or opinions analyzing federal income tax law issues
Serving as a primary tax adviser to business clients, including by explaining technical tax issues in layman's terms
Preferred
Experience working in the Tax department of an AmLaw 100 law firm or the Washington National Tax or M&A group of a Big 4 public accounting firm
Tax LLM
Energy industry experience is a plus, but not required
