Work on private equity and venture capital fund structuring and formation

Drafting fund and sponsor documents

Representing institutional investors in connection with their fund investments

Drafting and reviewing documents in connection with secondary transactions

Advising clients on compliance with U.S. and non-U.S. securities laws

Working on matters in the areas of private transactions in PE/VC

Qualification

Required

three to six years of experience working on private equity and venture capital fund structuring and formation

drafting fund and sponsor documents

representing institutional investors in connection with their fund investments

experience advising clients on compliance with U.S. and non-U.S. securities laws, including the Securities Act, the Investment Company Act and the Investment Advisers Act

broad knowledge of general corporate law

expected to work on matters in the areas of private transactions in PE/VC

strong academic credentials
