Mid-Level Associate – Financial Institutions

The role involves advising clients on corporate transactions, restructurings, capital raising, and regulatory compliance while working closely with senior attorneys and global clients.

Responsibilities

Advise financial institutions and insurers on acquisitions, divestitures, restructurings, reinsurance, and capital-raising transactions
Draft and review regulatory filings, disclosure schedules, board resolutions, and corporate consents
Conduct due diligence (buy-side and sell-side) and prepare diligence reports
Draft and analyze transaction agreements, public filings (including current reports and proxy statements)
Liaise with clients, counterparties, and regulators throughout all phases of transactions

Required

Juris Doctor (JD) or equivalent; LLM a plus
Minimum of 2 years of corporate transactional experience at a leading law firm
Experience advising financial institutions, including insurers and reinsurers, on corporate transactions
Strong background in insurance regulatory matters, filings, and compliance
Excellent drafting, negotiation, and client communication skills
Admitted to the New York Bar
