Responsibilities

Provides advice and counsel to various internal functions and will draft, edit, negotiate, review and interpret complex commercial agreements spanning across all functions within the company, including, asset purchase agreements/merger agreements, development agreements, sales agreements, distribution agreements, confidentiality agreements, consulting agreements, and service agreements

Lead due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed

Assist the Deputy General Counsel and General Counsel in the resolution of legal issues that arise in existing commercial relationships

Assist the Deputy General Counsel and General Counsel company’s legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices

Manages the development and implementation of global legal strategies relating to global commercial activities

Provides timely advice and counsel to executives and senior management by advising the business on laws, regulations, and company policies

May supervise attorney(s) and legal support staff

Up to 10% of outside travel may be required
