Responsibilities

Represent private equity funds, institutional investors, family offices, alternative asset managers, and their portfolio companies in leveraged buy-outs, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate portfolio company matters

Draft and negotiate complex M&A and private equity transactions and related investment agreements

Produce acquisition, equity and related documents in a client-ready format

Run key aspects of transactions, from due diligence through closing, across a range of transaction sizes, preferably with experience in the middle market

Required

4-6 years of experience representing private equity funds, institutional investors, family offices, alternative asset managers, and their portfolio companies in leveraged buy-outs, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate portfolio company matters

Hands on drafting and negotiating experience for complex M&A and private equity transactions and related investment agreements

Experience as a key member of deal teams, including responsibility for producing acquisition, equity and related documents in a client-ready format

Running key aspects of transactions, from due diligence through closing, across a range of transaction sizes, preferably with experience in the middle market

Active member of the New York state bar
