In-House Senior Counsel – Equity Investments /Private Equity
Siemens is a global technology company focused on industry, infrastructure, transport, and healthcare. They are seeking an in-house Counsel to join their Legal M&A team, advising on private equity-style investments across various sectors while providing actionable legal recommendations to business units.
Responsibilities
Acting as a trusted business advisor to business partners and senior management, including: Advising on the acquisition and sale of shareholdings and the establishment of joint ventures
Drafting, reviewing, and negotiating investment and project documentation such as: share purchase agreements, shareholders’ agreements, articles of association, by-laws and other ancillary agreements, loan agreements, security agreements, equity contribution agreements, and project development agreements; (including EPC, O&M, teaming, and concession contracts)
Guiding asset management and corporate governance of portfolio companies
Managing participation in tender processes, primarily in North and South America, including PPPs
Structuring transactions, including "bankability."
Selecting, mandating, and supervising external legal counsel
Qualification
Required
Juris Doctor (JD) required
8+ years of legal counsel professional experience in an international setting at a major law firm or - within the legal department of a large industrial or technology company
Experience in private equity, growth investments, venture capital, M&A and infrastructure acquisition, disposition, restructuring and finance transactions
Advanced knowledge in joint venture agreements
Proficiency in English both written and verbal
Legally authorized to work in the United States without company sponsorship now or in the future

Proficiency in reading, speaking, and writing in Spanish
