Responsibilities

Draft, review, and edit a variety of commercial contracts, including licensing agreements, NDAs, and data processing agreements
Assist attorneys and business stakeholders in negotiating contract terms and conditions to ensure alignment with company objectives and risk tolerance
Maintain a centralized contract repository, support business to track key dates and obligations, and ensure timely execution and renewal of agreements
Develop and update contract templates, playbooks, and process documentation
May train junior paralegals and business teams on contract policies, procedures, and best practices
Coordinate with internal departments (e.g., procurement, sales, finance) to gather relevant information and facilitate contract approvals and required documentation (e.g., RFPs, security questionnaires, and corporate documentation requests)
Monitor compliance with contractual obligations and escalate issues as appropriate
Assist with dispute resolution and contract enforcement matters, including preparing summaries and supporting documentation

Required

Bachelor's degree required from an accredited, not-for-profit in-person University or College
5+ years of experience as a paralegal, with at least 3 years focused on commercial contracts
Strong understanding of contract law, commercial transactions, and business operations
Excellent drafting, editing, and negotiation skills
Highly organized, detail-oriented, and able to manage multiple priorities in a fast-paced environment
Proficient in Microsoft Office Suite and contract management systems (Salesforce preferred)
Strong communication and interpersonal skills, with ability to collaborate across departments and levels
Ability to exercise sound judgment and maintain confidentiality
A track record of commitment to prior employers

Preferred

Paralegal certification preferred
Experience in a corporate legal department or law firm setting preferred
Experience with lease administration/lease accounting software platforms
Demonstrated success working with OKRs and performance metrics
Strong problem-solving and analytical skills
