Assistant General Counsel, Legal
Ipsos is one of the world’s largest research companies, and they are seeking an Assistant General Counsel to address a wide variety of contractual matters for their U.S. and Canadian clients. The role involves reviewing and negotiating contracts, providing legal advice on data privacy and security, and supporting the legal team on various projects.

Responsibilities
Review, draft and negotiate client and vendor contracts, RFPs, NDAs, DPAs, consulting agreements and any other commercial agreement relating to the company’s provision of services
Work closely with client service teams to resolve legal issues related to commercial relationships between Ipsos and its clients
Provide advice and support to the business teams on all matters relating to data privacy and security including:
Personal data of users, consumers, employees and third-parties
Data privacy requirements for websites, social media, apps, connected products, e-commerce, customer relationship management and the business teams’ various products and services
All laws relating to data privacy and security, in the various jurisdictions in which the business teams operate including the U.S. (e.g., HIPAA, CCPA/CPRA, GLBA, CAN-SPAM, COPPA), Canada (e.g., PIPEDA, CASL), and the EU (the GDPR and the ePrivacy Directive)
Create and improve our standard forms, processes and policies
Lead trainings of internal business teams on contractual terms, compliance with relevant corporate policies, applicable laws, and industry codes of conduct
Assist with a variety of other day-to-day legal matters as needed
Collaborate with Group legal department on Americas-wide and global projects
Qualification
Required
Bachelor's Degree and J.D. degree from accredited institutions required
A minimum of 5 years' experience working on commercial contracts in a law firm or mix of law firm and in-house roles
Excellent written and oral communication skills
Strong negotiation abilities
Excellent time management and organizational skills with the ability to work efficiently and productively
Ability to willingly accept coaching and feedback as you develop in the role
Ability to work effectively with management team and outside legal, financial and commercial advisors
Ability to quickly learn to identify, comprehend and assess the legal issues that are specific to the market research industry
Interact with local and regional leadership with a positive, approachable attitude, and with the capability to appropriately push back when required
Confidence to take action and make decisions within the parameters of authority set by the Group General Counsel

Preferred
CIPP/E and CIPP/US certification
Experience and/or knowledge of intellectual property (copyrights, patents and trademarks) and promotions (advertising pre-publication review, contests and sweepstakes)
Mergers and acquisitions experience
Data privacy experience
Experience with HR or real estate matters
Experience in the market research industry is beneficial but not required
