Represent issuers and underwriters in capital markets and corporate law work, including U.S. federal and state securities laws
Provide strong working knowledge of ’33 and ’34 Act regulations and compliance
Work on initial public offerings, PIPEs, SPACs and De-SPACs, and general corporate experience at a large international law firm
Qualification
Required
Three to six years of prior experience representing issuers and underwriters in capital markets and corporate law work, including U.S. federal and state securities laws with strong working knowledge of '33 and '34 Act regulations and compliance, as well as experience working on initial public offerings, PIPEs, SPACs and De-SPACs) and general corporate experience at a large international law firm
U.S. law degree (J.D. or equivalent)
At least one U.S. bar admission (New York bar admission preferred)
Excellent drafting, analytical and communication skills
Excellent time management and project management skills
Strong client service mentality and cultural sensitivity
Preferred
Experience representing foreign private issuers
Experience completing FINRA filings
Knowledge of accounting and corporate finance is a plus
