Responsibilities

Prepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreements
Draft, review, and negotiate financing documents, including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreements
Draft, review, and negotiate purchase/sale agreements and joint venture agreements
Manage due diligence, including title, survey, and lease review, as well as collateral matters for C&I loans (corporate structure, lien searches)
Advise clients on transaction structures, collateral packages, and closing complex deals
Support leasing matters as needed
Manage and coordinate all aspects of C&I commercial finance closings

Required

Juris Doctor (J.D.) degree with excellent academic credentials
Admission to the New York Bar required; admission to the New Jersey and Florida Bars is a plus
5–7 years of transactional and/or commercial finance experience, specifically including C&I lending
Strong drafting, negotiation, and organizational skills
Ability to work independently, multi task effectively, and collaborate as a team player
Excellent writing and communication skills
Self-starter with attention to detail and a proactive work ethic

Preferred

Familiarity with UCC Article 9 secured transactions strongly preferred
