Responsibilities
Negotiate credit agreements and intercreditor agreements with leading private credit funds and commercial banks
Structure and execute acquisition financings for private equity-backed leveraged buyouts
Handle complex syndicated and bilateral financing transactions (both secured and unsecured)
Work on bridge loans, stapled financings, and other sophisticated leveraged finance structures
Execute cross-border financing transactions with multi-jurisdictional coordination
Work directly with private equity sponsors, direct lenders, and institutional investors on live deals
Draft and negotiate loan documents, security agreements, and guarantees (not just review them)
Manage all phases of financing transactions from term sheet through closing
Build lasting relationships with sponsors and lenders who will call you directly on future deals
Qualification
Required
3-7 years of leveraged finance, private credit, or acquisition finance experience
Strong background in secured and unsecured lending transactions
Proven experience with acquisition financings, LBOs, and syndicated credit facilities
Excellent drafting and negotiation skills (you've actually negotiated credit agreements)
Strong law school academic credentials
Sophisticated law firm transaction experience
Preferred
Experience working with private equity sponsors and/or direct lenders preferred
