Responsibilities

Serve as the lead attorney for C3 AI’s Federal business, driving growth through all phases of government acquisitions, including RFP/capture support, contract negotiation, administration, and compliance
Lead front-end assessments of business pursuits, analyze solicitations, and advise on risk mitigation in accordance with company standards and policies
Structure, draft, and negotiate a wide range of complex agreements, including prime contracts, subcontracts, Other Transaction Authority (OTA) agreements, teaming agreements, and NDAs
Provide expert counsel on intellectual property protection, product counseling, export controls (ITAR/EAR), and security compliance within the Federal landscape
Develop and execute negotiation strategies, understanding how terms and conditions affect pricing, schedules, and performance
Manage the government contracting function, serving as the primary point of contact for customers on all contractual matters
Advise on US and international ethics and compliance laws and regulations to ensure business integrity
Assist in managing the Industrial Security function and Insider Threat program in collaboration with the Facility Security Officer (FSO)
Handle contract claims, disputes, bid protests, and Freedom of Information Act (FOIA) requests

Required

Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar
8+ years of relevant government contracts experience, with a strong preference for a combination of law firm and in-house roles
Subject matter expertise in all facets of U.S. Government contracting, including deep knowledge of the FAR, DFARS, and other agency supplements
Extensive experience structuring and negotiating FAR-based contracts, Other Transaction Authority (OTA) agreements, and GSA Schedule procurements
Proven experience with multiple contract types, such as FFP, Cost-Reimbursement, IDIQ, T&M, and BPAs
Significant experience with ITAR/EAR regulations and export compliance
Strong negotiation, contract drafting, and analytical skills, with experience representing both prime and subcontractors
Active Top Secret U.S. Government security clearance or the ability to obtain and maintain such a clearance

Preferred

Deep substantive knowledge of enterprise software, SaaS, PaaS, software licensing, and channel distribution models is a significant plus
